These Terms govern your use of the Site and all information, forms, booking links (including Microsoft Bookings), content, and contact methods made available through the Site (collectively, the “Services”). If you access or use the ITFlow Portal, that use may also be subject to additional terms (e.g., Stripe payment terms). By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.
2) What We Do / Scope
BPS provides IT consulting, managed services, web development, business automation, workflow design, event planning, catering, and other professional services. The Site is primarily for information and lead generation; you do not purchase services directly on the Site. Consultations may be booked through Microsoft Bookings. Work is performed under separate Service Agreements (e.g., SOWs, quotes, proposals, order forms). If a Service Agreement conflicts with these Terms, that agreement controls for that engagement. We may later offer digital products or software with additional terms at checkout or license.
3) Accounts, Bookings & Availability
Browsing the Site does not require an account. The ITFlow Portal may require one and its own terms. Appointments may be requested via Microsoft Bookings. After-hours support is limited and may incur premium rates (as stated in your Service Agreement). We generally do not take deposits; work begins only after written approval (e.g., signed SOW or authorization).
4) Payments & Refunds
Where Payments Happen: through the ITFlow Portal (Stripe processor). The public Site does not process payments.
Payment Methods: as available in the Portal or your Service Agreement.
Refunds: All sales are final. Services are provided “as is” unless a refund is required by law or explicitly stated in writing.
5) Messaging, SMS, and Teams Phone
By submitting contact information, you consent to receive emails, phone calls, and SMS/MMS messages related to your inquiries, bookings, or projects. Msg & data rates may apply. Msg frequency varies. You can opt out of SMS any time by replying STOP; for help, reply HELP or email support@beslacproservices.com. Messaging availability may be limited and delivery is not guaranteed. Consent is not a condition of purchase.
SMS Messaging Terms & Conditions
By providing your mobile number to BPS, you agree to receive SMS/MMS messages from us for purposes such as:
- Appointment confirmations, reminders, or rescheduling notices
- Service updates or project-related notificationsAccount or billing alerts
- Occasional informational updates about BPS services
Message Frequency: Message frequency varies by engagement (typically 1–10 messages per month depending on project activity).
Message & Data Rates: Message and data rates may apply per your carrier plan; BPS is not responsible for charges.
Opt-Out: Reply STOP to any message to unsubscribe. You’ll receive one final confirmation message and no further texts unless you opt back in by sending START.

Privacy: Your mobile information is used only for these purposes and handled per our Privacy Policy; we do not share or sell mobile data for third-party marketing.
Supported Carriers: Major U.S. carriers (AT&T, T-Mobile, Verizon, etc.); BPS is not liable for delayed or undelivered messages.
Eligibility: You must be 18 or older and the account holder (or authorized user) of the number provided.
Updates: BPS may revise these SMS terms from time to time; the latest version is posted at https://www.beslacproservices.com/terms.
6) Privacy & Cookies
Your use of the Site is also governed by our Privacy Policy, which explains data collection and usage (including Microsoft Forms, Google Analytics, cookies, and reCAPTCHA). By using the Site, you consent to those practices.
These Terms govern your use of the Site and any information, forms, booking links (including Microsoft Bookings), content, or contact methods made available through the Site (collectively, the “Services”). If you access or use the ITFlow Portal, that access may also be subject to additional terms displayed or accepted there (including Stripe payment terms).By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.
7) Acceptable Use
You agree not to:misuse, probe, or disrupt the Site or underlying infrastructure;collect information about others without consent;upload malicious code;interfere with security controls; oruse the Site for unlawful, infringing, or competitive scraping/harvesting purposes.
We may suspend or block access for violations.
8) Intellectual Property & Content
Site Materials: The Site’s text, designs, logos, images, and other content are owned by BPS or its licensors and are protected by law. You may not copy, redistribute, or create derivative works without our prior written consent.
Open-Source / Third-Party Components: Where we use open-source or third-party materials, those are governed by their respective licenses, which you agree to honor.
Your Submissions: If you voluntarily send us ideas, feedback, or testimonials, you grant BPS a non-exclusive, worldwide, royalty-free license to use and display that content for business purposes (e.g., improving services, marketing testimonials), unless we otherwise agree in writing.
9) Deliverables & IP in Client Engagements
This section applies to paid work performed under a Service Agreement/SOW.
Pre-Existing Materials:, including any improvements (collectively, “BPS Tools”). pre-existing tools, scripts, templates, frameworks, know-how, and methodologies, including any improvements (collectively, “BPS Tools”).Client Deliverables: Unless your Service Agreement states otherwise, upon full payment, BPS grants you a non-exclusive, perpetual license to use the final deliverables for your internal business purposes.If you want exclusive ownership or an assignment of IP, that must be expressly stated in your Service Agreement and may require an additional fee.Open-Source components included in deliverables remain subject to their open-source licenses; you agree to comply with those licenses.10) Confidentiality & AccessIf BPS is granted access to your systems, networks, credentials, or confidential information, BPS will use reasonable measures to protect that information and will use it only to perform the Services.You are responsible for:Maintaining proper backups;Providing accurate information and permissions;Ensuring that BPS’s work and access are authorized by your policies and applicable laws.We may sign separate NDAs or include confidentiality terms in a Service Agreement.11) Regulated & Industry-Specific Work (CJIS, HIPAA, Real Estate, etc.)CJIS / Criminal Justice: You are responsible for ensuring any Services you request comply with applicable CJIS requirements. BPS will follow your documented policies/procedures provided to us, but you remain the system owner and responsible for compliance unless expressly agreed otherwise in a Service Agreement.HIPAA / Healthcare: BPS is not a HIPAA Business Associate unless we both sign a Business Associate Agreement (BAA). Absent a BAA, do not share Protected Health Information (PHI) with BPS.Real Estate (Colorado): Any real-estate-related content or guidance provided through the Site is general information and not legal advice. Contract forms, trust/escrow handling, or brokerage duties are governed by Colorado law and your brokerage agreements—handled under separate documents, not these Terms.Legal/Tax Advice: BPS does not provide legal or tax advice. You should consult your attorney/CPA for such matters.12) Third-Party Platforms & ServicesThe Site and our Services may reference or integrate with third parties such as Microsoft, Stripe, Webflow, Google, or others. Those services are not controlled by BPS and are subject to their own terms and privacy policies. BPS is not responsible for third-party acts, outages, or data handling.
13) Warranties & Disclaimers
The Site is provided “AS IS” and “AS AVAILABLE.”To the maximum extent allowed by law, BPS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.We do not warrant that the Site (or any communications) will be error-free, uninterrupted, secure, or malware-free, or that results will meet your requirements.Services are provided “as-is,” unless a specific guarantee is explicitly stated in your Service Agreement.
14) Limitation of Liability
To the fullest extent permitted by law:Indirect Damages: BPS will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including lost profits, lost data, business interruption, or loss of goodwill).Cap: BPS’s total liability for all claims related to the Site will not exceed $100. For paid Services under a Service Agreement, BPS’s total liability will not exceed the **amount you paid to BPS for the Services giving rise to the claim in the twelve (12) months preceding the event.These limits apply even if BPS has been advised of the possibility of such damages and regardless of the legal theory.
15) Indemnification
You agree to defend, indemnify, and hold harmless BPS and its owners, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) your misuse of the Services; (d) your violation of any law or third-party right; or (e) any content you provide.
16) Non-Solicitation; Reviews
Non-Solicitation: During any engagement and for 12 months thereafter, you agree not to solicit for employment or contract any BPS employees or primary contractors who worked on your project, without BPS’s written consent.
Reviews: Honest reviews are welcome. Do not post defamatory, false, or confidential information. We may quote or respond to reviews in our marketing, consistent with applicable law.
17) Relationship of the Parties
These Terms and any Services do not create a partnership, joint venture, franchise, or employer–employee relationship between you and BPS. We operate as an independent contractor.
18) Suspension & Termination
We may suspend or restrict Site access to protect users and our systems. You may stop using the Site at any time. If you have an active Service Agreement, termination and wind-down will be governed by that agreement.
19) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date tells you when the latest changes took effect. Material changes will be posted on the Site. Continued use of the Site after changes means you accept the updated Terms.
20) Governing Law; Dispute Resolution
Governing Law: Colorado law (without regard to conflicts of law) governs these Terms and your use of the Site.Good-Faith Resolution: Before filing a claim, both parties agree to attempt informal resolution by emailing support@beslacproservices.com.Mediation/Arbitration: If unresolved after 30 days, disputes will be submitted to mediation in El Paso County, Colorado. If not resolved in mediation, the dispute will be resolved by binding arbitration in El Paso County, Colorado, administered by JAMS or AAA under their applicable rules. Judgment may be entered on the award. Each party pays its own fees, and administrative/neutral fees are split unless the arbitrator re-allocates by rule.Injunctive Relief: Either party may seek injunctive relief in court to protect IP or confidentiality.
21) Severability; Entire Agreement; Assignment
If any provision is found unenforceable, the remainder stays in effect. These Terms (plus any referenced policies) are the entire agreement governing your Site use. We may assign these Terms in connection with a merger, acquisition, or asset transfer. You may not assign without our prior written consent.
